Tierlock End User Agreement

These Terms of Service, together with Appendix A attached hereto (collectively, these “Terms”), are a binding legal agreement between you and Tierlock LLC, a Wyoming limited liability company (“Tierlock,” “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, applications, wallet-related features, payment-related features, account functionality, verification functionality, and related services (collectively, the “Service”).
BY CREATING AN ACCOUNT, CLICKING TO ACCEPT, OPENING OR USING A WALLET, LINKING A PAYMENT METHOD, INITIATING OR AUTHORIZING A TRANSACTION, ACCESSING AN AGO THROUGH THE SERVICE, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
IMPORTANT MEMBER NOTICES: THE SERVICE IS NOT THE AGO. TIERLOCK DOES NOT OWN OR OPERATE THE AGO’S OR ANY PART OF THEIR GAMES, SWEEPSTAKES, PROMOTIONS, PRIZES, OR UNDERLYING OFFERINGS, AND TIERLOCK DOES NOT GUARANTEE THE LEGALITY, AVAILABILITY, COMPLIANCE, PERFORMANCE, OR OUTCOMES OF ANY AGO OFFERING. YOUR TRANSACTIONS WITH AN AGO ARE SEPARATE FROM YOUR RELATIONSHIP WITH TIERLOCK. PAYMENT APPROVALS, CLEARANCES, WALLET CREDITS, AND PAYOUTS MAY BE DELAYED, REVERSED, OR WITHHELD. YOUR WALLET IS A LIMITED-PURPOSE FEATURE AND IS NOT A BANK ACCOUNT, DEPOSIT ACCOUNT, OR BROKERAGE ACCOUNT.
SECTION 17 CONTAINS AN ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND MASS ARBITRATION PROCEDURES THAT MAY AFFECT YOUR RIGHTS.
DEFINITIONS
1.1 “AGO” means an authorized third-party operator, platform, or other counterparty that offers games, sweepstakes, promotions, entries, prizes, digital goods, or other offerings that may be accessed through or in connection with the Service.
1.2 “AGO Offering” means any game, sweepstakes, promotion, contest, prize, entry, digital good, service, content, or other offering made available by an AGO.
1.3 “Member” means an individual who creates an account with Tierlock that allows access to es the Service.
1.4 “Payment Processor” means any third-party payment processor, card processor, network, bank, gateway, wallet provider, blockchain infrastructure provider, or similar service provider used in connection with the Service.
1.5 “Payment Reversal” means any chargeback, return, reversal, dispute, retrieval, processor reversal, network reversal, ACH return, unauthorized-transaction finding, clawback, or similar reversal, rejection, or failure of a payment or payout.
1.6 “Restricted Jurisdiction” means any state, territory, country, or other jurisdiction in which access to or use of the Service, an AGO Offering, a Wallet, a Supported Payment Method, or a payout feature is prohibited, restricted, not supported, or not offered by Tierlock, the applicable AGO, or an applicable Payment Processor.
1.7 “Service” means the website, applications, account features, wallet-related features, payment-related features, access controls, verification tools, and related functionality provided by Tierlock. Services do not include any third-party website including an AGO website that is accessed by the Service.
1.8 “Supported Payment Method” means a payment card, bank account, digital payment credential, or other funding source that Tierlock or its Payment Processors permit you to link or use in connection with the Service.
1.9 “Transaction” means any instruction, authorization, payment, purchase, entry request, settlement event, payout event, Wallet event, or other transaction submitted through or supported by the Service in connection with an AGO or AGO Offering.
1.10 “Verification Provider” means any third-party identity, age, sanctions, geolocation, fraud, or compliance vendor used by Tierlock in connection with the Service.
1.11 “Wallet” means the limited-purpose account feature made available by Tierlock for receipt, display, holding, transfer, or other handling of USDC or other supported digital asset functionality as expressly permitted by Tierlock.
2. ELIGIBILITY, ACCEPTANCE, ACCOUNTS, AND UPDATES
2.1 Acceptance of Terms. You accept these Terms by creating an account, clicking to agree, linking a Supported Payment Method, opening or using a Wallet, initiating or authorizing a Transaction, accessing an AGO through the Service, or otherwise using the Service.
2.2 Eligibility. You must be at least twenty-one (21) years old, as required by applicable law or AGO requirements, capable of forming a binding contract, and not barred from using the Service under applicable law. If you use the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
2.3 Account Registration. You may be required to create an account to use some or all of the Service. You agree to provide accurate, current, and complete information and to keep that information updated.
2.4 Account Security. You are responsible for maintaining the confidentiality of your account credentials, devices, and linked payment credentials, and for all activity occurring through your account unless prohibited by applicable law. You must promptly notify us at legal@tierlock.com if you believe your account, device, Wallet, or payment credentials have been compromised.
2.5 Single-User Account. Unless we expressly authorize otherwise in writing, each account is personal to the registered Member and may not be shared, transferred, sold, assigned, or used by or for any other person.
2.6 Incorporation by Reference. The Privacy Policy is incorporated into and made part of these Terms by reference. Additional policies, disclosures, or notices that we publish through the Service may also be incorporated into these Terms to the extent stated therein.
2.7 Changes to Terms. We may modify these Terms from time to time by posting updated Terms through the Service and, where appropriate, sending notice to your account email or through the Service. Unless we state otherwise, modifications become effective on the date stated in the updated Terms. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account. Tierlock may also modify, add, or discontinue any Service feature, Wallet function, or Supported Payment Method at any time by updating the Service.
3. VERIFICATION, RESTRICTED JURISDICTIONS, AND ACCESS CONTROL
3.1 Condition Precedent to Membership. Successful age, identity, and jurisdiction verification is a condition precedent to activation and continued use of your account and, where applicable, your Wallet or access to AGO-connected functionality.
3.2 Verification Providers. Tierlock may use one or more Verification Providers to verify your age, identity, location, payment risk profile, sanctions status, fraud risk, or other compliance matters. You authorize Tierlock and its Verification Providers to collect, use, receive, disclose, and process information and documentation reasonably necessary for those purposes, subject to the Privacy Policy.
3.3 Reverification and Ongoing Controls. Tierlock may require reverification at any time and may suspend, restrict, or terminate your access if you fail, refuse, or are unable to complete verification, if previously provided information becomes inaccurate, or if Tierlock identifies a legal, compliance, fraud, or security concern.
3.4 Restricted Jurisdictions. You may not access or use the Service from a Restricted Jurisdiction. Tierlock may use geolocation, IP screening, device intelligence, or other controls to enforce jurisdictional restrictions. Availability of the Service, AGOs, Wallet functionality, and Supported Payment Methods may vary by jurisdiction and may change at any time. A current list of Restricted Jurisdictions, which may be updated from time to time, is available through the Service or upon request at [SUPPORT EMAIL].
4. TIERLOCK’S ROLE; AGO AND THIRD-PARTY RELATIONSHIPS
4.1 Tierlock’s Limited Role. The Service provides account functionality, verification-related functionality, access authorization, Wallet-related functionality, payment-related support, and other intermediary or technical services in connection with AGOs and AGO Offerings. The specific features available to you may vary by jurisdiction, AGO, product type, transaction type, and risk profile.
4.2 Not the AGO; Not a Party to AGO Transactions. Unless Tierlock expressly states otherwise in a separate written agreement signed by an authorized representative of Tierlock, Tierlock is not the AGO, does not own or operate AGO Offerings, and is not a party to any contract or other legal relationship between you and an AGO. Your participation in, purchase of, or use of any AGO Offering creates a direct relationship, if any, between you and the applicable AGO under that AGO’s own terms, rules, or policies.
4.3 No Agency; No Fiduciary Relationship. Except to the limited extent expressly described in Appendix A with respect to certain payment or payout flows, Tierlock is not your agent, broker, insurer, trustee, fiduciary, or financial advisor, and Tierlock is not the AGO’s agent, employee, partner, joint venturer, or fiduciary.
4.4 No Guarantees Regarding AGOs or AGO Offerings. Tierlock does not examine, evaluate, warrant, or guarantee any AGO, AGO Offering, promotion, sweepstakes, game, prize, entry, content, rules, legality, availability, eligibility, quality, safety, compliance, or performance. Verification, routing, or access services provided by Tierlock do not constitute an endorsement of any AGO or AGO Offering.
4.5 Third-Party Services and Terms. Your use of the Service may involve third-party services, including AGOs, Payment Processors, Verification Providers, digital asset infrastructure providers, and other integrations. Such third parties may have their own terms, policies, restrictions, eligibility rules, fees, and privacy practices. You are responsible for reviewing and complying with those third-party terms and policies. Where provided to Tierlock, AGO terms may be made available through the Service. Tierlock has not reviewed and does not warrant that AGO terms will be available in advance of every access event or that the terms and services of any third-party AGO or Payment Processor are accurate. You are responsible to review the terms and services of any AGO or Payment Processor before you utilize their services.
4.6 Merchant of Record; Dispute Facilitation. Tierlock is not a Payment Processor. In connection with Transactions, Tierlock acts as merchant of record in the payment processing chain. In that capacity, Tierlock may facilitate and coordinate payment disputes on behalf of the applicable AGO. Tierlock's facilitation role does not make Tierlock a decision-maker with respect to AGO Offerings, prizes, sweepstakes outcomes, or AGO-side obligations; final determinations on such matters remain with the AGO.
5. TRANSACTIONS, PAYMENT METHODS, AND FEES
5.1 Transactions with AGOs. You may use your account to access AGO-connected functionality and, where supported, to initiate or authorize Transactions in connection with an AGO Offering. Tierlock may facilitate certain steps in that process, but the AGO Offering itself remains the AGO’s offering and not Tierlock’s offering.
5.2 Supported Payment Methods. You must maintain a valid Supported Payment Method if required for a Transaction, payout path, reversal recovery, or other feature of the Service. Availability of Supported Payment Methods may vary by jurisdiction, AGO, transaction type, device, processor availability, and risk profile.
5.3 Authorization. By linking or using a Supported Payment Method, you represent and warrant that you are the lawful owner or authorized user of that payment method and authorize Tierlock and its service providers to store, tokenize, validate, and charge that payment method for Transactions you initiate or authorize through the Service, as further described in Appendix A. Without limiting the foregoing, you expressly authorize Tierlock and its service providers to: (a) charge your Supported Payment Method for Transactions you authorize in connection with AGO services or AGO Offerings; (b) facilitate or direct corresponding transfers or settlement to or for the benefit of the applicable AGO in connection with such Transactions; and (c) receive USDC or other supported value from an AGO on your behalf in connection with prizes, payouts, or other AGO-related distributions, and credit such value to your Wallet, subject to these Terms and Appendix A.
5.4 Fees and Pricing. There is no fee to create an account unless expressly stated otherwise. Fees may apply to certain features, Transactions, Wallet functionality, or payout-related functionality and will be disclosed through the Service or at the time of the applicable Transaction. Some fees may be charged to AGOs rather than directly to Members. Tierlock may change fees prospectively by updating the Service or providing notice.
5.5 Taxes. You are responsible for all taxes, duties, levies, or similar governmental charges associated with your use of the Service or any Transaction, except taxes imposed on Tierlock’s net income. Tierlock may collect taxes where required by law and may request tax information or documentation if reasonably necessary for compliance.
5.6 Failed Payments. If a payment fails, is declined, is reversed, or cannot be completed, Tierlock may suspend or limit your access, reverse related value or account activity, require an alternative Supported Payment Method, or take any action described in Appendix A.
5.7 No Member Setoff. You may not set off, withhold, deduct, or reduce any amount owed to Tierlock or any AGO against any amount you claim is owed to you by Tierlock or any AGO. All amounts due under these Terms are payable without deduction or offset.
6. WALLET TERMS
6.1 Limited-Purpose Wallet. If Tierlock makes a Wallet available to you, the Wallet is a limited-purpose feature associated with your account. The Wallet may be used only for the specific functions that Tierlock expressly permits.
6.2 Wallet Funding Restriction. Unless Tierlock expressly states otherwise through the Service, your Wallet may not be used by you to fund AGO purchases, gameplay, or other AGO transactions. As currently configured, the Wallet supports only limited receipt and handling of USDC or other supported digital assets as expressly permitted by Tierlock.
6.3 Receipt of Value. Where supported, Tierlock may receive USDC or other supported value on your behalf from an AGO and credit that value to your Wallet, subject to these Terms, Appendix A, applicable AGO rules, Payment Processor requirements, and legal or compliance restrictions.
6.4 No Bank Account; No Deposit Account. Your Wallet is not a bank account, checking account, savings account, deposit account, investment account, brokerage account, or securities account. Unless expressly required by applicable law, funds or digital assets associated with the Wallet are not insured by the FDIC or SIPC and do not earn interest.
6.5 Wallet Restrictions and Controls. Tierlock may freeze, restrict, delay, reject, reverse, or refuse Wallet activity for legal, compliance, fraud, sanctions, technical, processor, AGO, or operational reasons, including pending investigations or suspected Payment Reversals.
6.6 Service Availability; Legal and Regulatory Conditions. Availability of the Service, Wallet functionality, Transactions, and payouts may vary by jurisdiction and may depend on applicable law, regulatory requirements, service-provider approvals, and Payment Processor authorizations. Tierlock may restrict, suspend, or discontinue any feature or functionality at any time as required by applicable law, regulation, or operational necessity. Tierlock makes no representation that the Service is available or authorized in every jurisdiction. You are responsible for determining whether your use of the Service is lawful in your jurisdiction.
6.7 Digital Asset Characterization; De-Peg Risk. To the extent Tierlock receives or holds USDC or other supported digital assets in connection with your Wallet, Tierlock acts solely as a limited-purpose intermediary and does not hold such assets as a bank, trustee, or fiduciary. Digital assets including USDC are not legal tender and may lose their peg to the U.S. dollar or other reference asset. Tierlock is not responsible for any loss in value resulting from depeg events, blockchain congestion, forks, outages, protocol failures, or third-party infrastructure failures. Tierlock will not invest, lend, rehypothecate, or otherwise deploy for its own account any digital-asset value held pending settlement, review, or release on your behalf.
7. SWEEPSTAKES, PROMOTIONS, AND AGO OFFERINGS
7.1 AGO Responsibility. AGOs are solely responsible for their AGO Offerings, including sweepstakes rules, alternative means of entry, eligibility criteria, content, promotions, entries, prizes, disclosures, and platform conduct.
7.2 No Tierlock Guarantee. Tierlock does not guarantee that any AGO Offering is lawful, available, compliant, accurate, error-free, suitable, or permitted in any jurisdiction. You are responsible for reviewing the AGO’s rules, terms, and eligibility requirements before participating.
7.3 Access Controls. Tierlock may block, disable, or discontinue access to any AGO or AGO Offering at any time for legal, compliance, risk, processor, security, or operational reasons.
7.4 No Purchase Required for Service Access; AMOE. Tierlock's verification, account creation, and access-authorization services do not require you to make any purchase from any AGO. Where an AGO offers an alternative method of entry or free-entry path, your access to Tierlock's Service is not conditioned on making a purchase. Whether a purchase is required to enter or participate in any AGO Offering is governed solely by the applicable AGO's rules. Tierlock does not represent that any AGO Offering satisfies applicable no-purchase-necessary or alternative-method-of-entry requirements under federal or any state or local law or regulation.
8. ACCEPTABLE USE AND PROHIBITED CONDUCT
8.1 Lawful Use Only. You may use the Service only for lawful purposes and in accordance with these Terms, all incorporated policies, and all applicable laws.
8.2 Prohibited Conduct. You may not, and may not permit any other person to: (a) violate law or regulation; (b) engage in fraud, deception, money laundering, sanctions evasion, or other unlawful conduct; (c) impersonate any person or misrepresent your identity, age, authority, or location; (d) use any stolen, unauthorized, or third-party payment credential; (e) share your account or permit any other person to use your account; (f) circumvent jurisdictional restrictions, verification controls, access controls, payment controls, Wallet limits, or other Service restrictions; (g) initiate abusive, bad-faith, or fraudulent disputes, chargebacks, or Payment Reversals; (h) exploit bugs, race conditions, duplicate-account schemes, or promotional logic; (i) scrape, crawl, reverse engineer, decompile, disassemble, or interfere with the Service; (j) upload malware, harmful code, or security exploits; (k) harass, threaten, or discriminate against any person; (l) infringe any third-party intellectual property, privacy, or publicity right; or (m) use automated systems in a manner that harms or burdens the Service without Tierlock’s prior written consent.
8.3 Member Representations and Warranties. You represent and warrant, at the time of account creation and on a continuing basis throughout your use of the Service, that: (a) all information you provide to Tierlock is accurate, current, and complete; (b) you are at least twenty-one (21) years old and have full legal capacity to enter into and perform these Terms; (c) if using the Service on behalf of an entity, you have authority to bind that entity; (d) each Supported Payment Method you link or use belongs to you or is otherwise lawfully authorized for your use and is not subject to any restriction, dispute, or adverse claim that would prevent its authorized use; (e) you are not accessing or using the Service from a Restricted Jurisdiction; (f) you are not subject to applicable sanctions, trade restrictions, or export controls that would prohibit your use of the Service; and (g) your use of the Service does not violate any applicable law or any agreement to which you are a party.
8.4 Compliance; Monitoring; Investigations. Tierlock may, but is under no obligation to, monitor, investigate, and audit account activity, Transactions, Wallet activity, and use of the Service for legal, compliance, fraud, sanctions, and operational purposes. Tierlock may cooperate with AGOs, Payment Processors, Verification Providers, law enforcement, regulators, card networks, and other third parties in connection with any such investigation. Tierlock's exercise of any right under this Section does not create any obligation to monitor, investigate, or act, and Tierlock is not liable for any failure to detect or prevent violations, fraud, or other harmful conduct.
9. INTELLECTUAL PROPERTY, FEEDBACK, AND PLATFORM DATA
9.1 Company IP. The Service and all related software, interfaces, workflows, text, graphics, logos, trade names, trademarks, service marks, designs, compilations, documentation, and other content or technology provided by Tierlock are owned by Tierlock or its licensors and are protected by applicable law.
9.2 Limited License. Subject to these Terms, Tierlock grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for its intended purpose.
9.3 Restrictions. Except as expressly permitted by law or these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit the Service or any part of it.
9.4 Feedback. If you submit suggestions, ideas, comments, or other feedback regarding the Service, you grant Tierlock a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, disclose, reproduce, modify, commercialize, and otherwise exploit that feedback for any purpose without compensation or attribution to you.
9.5 Platform Data. Tierlock owns all right, title, and interest in and to Platform Data, meaning data generated by or through the Service regarding account usage, transaction activity, fraud signals, Wallet events, system performance, analytics, logs, workflows, and related metadata, together with any compilations, aggregations, derivatives, insights, and de-identified or anonymized datasets derived therefrom. You may not scrape, extract, aggregate, compile, disclose, or use Platform Data except as expressly permitted through the Service.
10. PRIVACY
10.1 Privacy Policy. The Privacy Policy describes how Tierlock collects, uses, discloses, retains, and otherwise processes personal information and related data in connection with the Service. By using the Service, you acknowledge the Privacy Policy.
10.2 Verification and Transaction Data. Without limiting the Privacy Policy, you acknowledge that Tierlock may collect, receive, use, and disclose information relating to your identity, age, device, location, transaction activity, Wallet activity, payment credentials, sanctions or fraud screening, and communications with AGOs or service providers as reasonably necessary to operate the Service, enforce these Terms, protect users, prevent fraud, comply with law, and respond to legal process.
10.3 Security Incidents. In the event of a security incident involving unauthorized access to your personal information, payment credentials, or Wallet data, Tierlock will provide notification as required by applicable law. Tierlock's liability for any security incident is subject to the limitations set forth in Section 12. You agree to notify Tierlock promptly at [SUPPORT EMAIL] if you become aware of any unauthorized access to your account or credentials.
11. DISCLAIMER OF WARRANTIES; ASSUMPTION OF RISK
11.1 Disclaimer of Warranties. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND TIERLOCK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
11.2 No Guarantee of Results or Availability. Tierlock does not warrant that the Service, any AGO Offering, any Verification Provider, any Payment Processor, any Wallet functionality, or any digital asset or blockchain infrastructure will be uninterrupted, secure, error-free, timely, available in every jurisdiction, or free from delay, outage, reversal, or failure.
11.3 Third-Party Assumption of Risk. You assume all risks associated with AGOs, AGO Offerings, payment processing, Wallet functionality, digital asset transfers, payment disputes, Payment Reversals, third-party service failures, and your interactions with any third party through or in connection with the Service.
12. LIMITATION OF LIABILITY
12.1 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIERLOCK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, EXPECTED SAVINGS, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO THE SERVICE, ANY AGO, ANY AGO OFFERING, ANY WALLET FUNCTIONALITY, ANY PAYMENT PROCESSOR, ANY PAYMENT REVERSAL, OR THESE TERMS, EVEN IF TIERLOCK WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. The foregoing exclusions do not apply to damages caused by Tierlock's gross negligence or willful misconduct.
12.2 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIERLOCK’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID DIRECTLY TO TIERLOCK FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00). This cap does not apply to liability arising from Tierlock's gross negligence or willful misconduct.
12.3 Savings Clause. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law. If applicable law does not permit a limitation described in this Section, such limitation will apply to the maximum extent permitted by law.
13. INDEMNIFICATION
13.1 Member Indemnity. You agree to defend, indemnify, and hold harmless Tierlock and its affiliates and their respective officers, directors, managers, employees, contractors, agents, licensors, successors, and assigns from and against any and all claims, actions, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your use of the Service; (b) your Transactions; (c) your Wallet activity; (d) your violation of these Terms or applicable law; (e) your fraud, misrepresentation, negligence, willful misconduct, or misuse of payment credentials; (f) any Payment Reversal, chargeback abuse, unauthorized use, or dispute caused by your conduct; or (g) any claim by a third party arising from your acts or omissions.
13.2 Procedure. Tierlock may assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Tierlock in the defense of such matter at your expense. You may not settle any matter subject to this Section without Tierlock’s prior written consent if the settlement admits fault by Tierlock or imposes any obligation on Tierlock.
14. SUSPENSION, TERMINATION, AND EFFECT OF TERMINATION
14.1 Suspension and Termination by Tierlock. Tierlock may suspend, restrict, or terminate your account, Wallet, access to the Service, access to any AGO, or access to any Supported Payment Method at any time, with or without prior notice, if Tierlock reasonably believes that: (a) you violated these Terms; (b) you pose fraud, sanctions, legal, security, or operational risk; (c) your information is inaccurate or cannot be verified; (d) a Payment Processor, Verification Provider, AGO, regulator, card network, or financial institution requires or requests such action; or (e) continued access would expose Tierlock, its users, or third parties to risk.
14.2 Termination by You. You may stop using the Service and request account closure at any time by contacting [SUPPORT EMAIL], subject to any pending obligations, investigations, Payment Reversals, or Wallet restrictions.
14.3 Effect of Termination. Upon termination or suspension: (a) your license to use the Service terminates immediately; (b) Tierlock may disable your account and Wallet; (c) Transactions, payouts, Wallet activity, and AGO access may be canceled, frozen, delayed, reversed, or withheld; and (d) all obligations and rights that by their nature should survive termination will survive.
14.4 Survival. Without limitation, Sections 1, 4, 4.6, 5.5, 5.6, 5.7, 6, 7.1, 7.2, 8, 9, 10, 11, 12, 13, 14.3, 14.4, 15, 16, 17, and Appendix A survive termination of these Terms.
15. ELECTRONIC COMMUNICATIONS AND NOTICES
15.1 Electronic Communications. You consent to receive communications from Tierlock electronically, including through email, account notifications, wallet notifications, or postings through the Service.
15.2 Notices from Tierlock. Tierlock may provide notices to you by email to the address associated with your account, by in-app or in-Service notification, or by posting notices through the Service. Notices are deemed given when sent, displayed, or posted, as applicable.
15.3 Notices to Tierlock. Unless these Terms expressly provide otherwise, notices to Tierlock must be sent to legal@tierlock.com and, if required by Tierlock, to 1712 Pioneer Ave Ste 500, Cheyenne, WY 82001 by nationally recognized overnight courier or certified mail, return receipt requested.
16. MISCELLANEOUS
16.1 Governing Law. These Terms are governed by the laws of the State of Wyoming applicable to contracts entered into and wholly performed in that State, without giving effect to conflict-of-laws principles, except to the extent preempted or superseded by applicable federal law.
16.2 Assignment. You may not assign, transfer, delegate, or sublicense these Terms or any of your rights or obligations hereunder without Tierlock’s prior written consent. Any attempted assignment in violation of this Section is void. Tierlock may assign or transfer these Terms, in whole or in part, without restriction.
16.3 Entire Agreement. These Terms, together with Appendix A, the Privacy Policy, and any other documents expressly incorporated by reference, constitute the entire agreement between you and Tierlock regarding the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and communications, whether written or oral, relating to such subject matter.
16.4 Order of Precedence. Appendix A governs payment, Wallet, reversal, settlement, hold, reserve, offset, and related funds-flow matters. The Privacy Policy governs privacy disclosures and data practices. AGO terms govern AGO Offerings and AGO-side obligations. These Terms govern your relationship with Tierlock. In the event of a conflict, the foregoing order controls as to the specific subject matter addressed.
16.5 No Waiver. Failure by Tierlock to enforce any provision of these Terms does not constitute a waiver of future enforcement of that or any other provision.
16.6 Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
16.7 Construction. These Terms will be construed fairly according to their plain meaning and not strictly for or against either party by reason of authorship.
16.8 Relationship of Parties. Nothing in these Terms creates any agency, employment, partnership, joint venture, fiduciary, or similar relationship between you and Tierlock.
16.9 Force Majeure. Tierlock will not be liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, utility outages, sanctions events, payment-network outages, blockchain outages, service-provider failures, governmental actions, and public emergencies.
16.10 Sanctions and Export Controls. You may not use the Service in violation of applicable sanctions, export controls, or trade restrictions. Tierlock may block or terminate access where required by law or risk policy.
17. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER
17.1 Informal Resolution. Before either party initiates arbitration or court proceedings, that party must send a written notice describing the dispute and requested relief to the other party. If the parties do not resolve the dispute within forty-five (45) days after notice, either party may pursue arbitration or other relief as permitted by these Terms.
17.2 Agreement to Arbitrate. Except as expressly provided below, any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Denver, Colorado, applying Wyoming law, before a single neutral arbitrator appointed in accordance with the applicable rules.
17.3 Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TIERLOCK AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. By accepting these Terms, you specifically waive any right to litigate arbitrable claims in a court of law and waive any right to trial by jury.
17.4 Small Claims; Injunctive Relief; Arbitration Enforcement. Either party may bring an individual action in small claims court if the claim qualifies. Either party may also seek temporary, preliminary, or other equitable relief in the state or federal courts located in Denver, Colorado for actual or threatened misuse of the Service, fraud, circumvention of controls, unauthorized use of payment credentials, misuse of intellectual property, or enforcement of the arbitration agreement, including petitions to compel arbitration or confirm, modify, or vacate an award.
17.5 Consumer-Law Savings Clause. Nothing in this Section limits any non-waivable rights you may have under applicable consumer protection law.
17.6 Mass Arbitration Procedures. If twenty-five (25) or more similar arbitration demands are asserted against Tierlock by or on behalf of different claimants and such claims are coordinated or brought by the same or coordinated counsel, the parties agree that the claims will be administered in batches of ten (10) cases at a time, with the first batch serving as bellwether cases. No additional batches may proceed until the first batch is completed and the parties engage in good-faith mediation regarding the remaining claims. Stayed claims will remain tolled to the extent provided by applicable law or AAA rules. The arbitration provider may apply any applicable supplementary mass-arbitration procedures, and Tierlock will not be required to pay fees for stayed cases beyond what the applicable rules require. To the extent any applicable law requires the payment of arbitration fees within a specified period as a condition of maintaining the right to compel arbitration, Tierlock will comply with such requirements notwithstanding any stay or deferral described in this Section.
17.7 Opt-Out. You may opt out of Section 17.2 through 17.6 by sending an email to [NOTICE EMAIL] within thirty (30) days after first accepting these Terms, stating your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, neither party will be bound by the arbitration provisions of this Section, but all other provisions of these Terms will remain in effect.
